The Executive Committee and the Managing Director
The managing director – together with his executive committee – has exclusive authority in a number of responsibilities that belong to the daily management of the VRT.
The managing director is appointed and dismissed by the general meeting.
The managing director is assisted by the executive committee consisting of a minimum of two members plus the managing director. The managing director presides over the executive committee.
The Managing Director Sandra De Preter is assisted by the Executive Committee over which she presides and that comprises the following people:

The Board of Governors
The Board of Governors is the first control authority of the VRT Management. It sets out the strategy of the public broadcaster.
The Board of Governors consists of a minimum of twelve and a maximum of fifteen members.
Twelve members of the Board of Governors are appointed by the Flemish Government, in accordance with the proportional representation of the political groups in the Flemish Parliament.
The members of the board of governors who have been appointed by the Flemish Government can co-opt a maximum of three commissioners, on the basis of proven expertise in the field of media or corporate policy.
The board of governors elects from its members a president and vice-president.

Comittees
The Board of Governors has three committees:
The Audit committee
The Audit committee is predominantly responsible for assisting the Board of Governors with its supervisory function, more specifically controlling:
- the financial information reserved to the shareholders and others
- the internal controlling system set up by the Board of Governors and the management
- the audit process
The Audit committee consists of three members. The current president of the Audit committee is Annelies Van Cauwelaert. Chris Reniers and Luc Van den Brande are the two other members of the Audit committee. The Managing Director and the head of Internal Audit attend the meetings of the Audit committe.
The head of Internal Audit is Koen De Hauw.
The Strategic Committee VAR and daughter companies VAR
The VRT intends to act according to the principles of good management. Consequently, it is logical that the Board of Governors of a daughter company is partly comprised of members of the mother company’s management. This avoids any conflicts of interest within the boards of governors of both the mother and daughter companies.
The Board of Governors has appointed Claude Marinower as president of the Strategic Committee VAR and daughter companies VAR. The other members are Eric Deleu and Valerie Van Peel. The representative of the Flemish community acts as an observer.
The Remuneration committee
The Remuneration committee makes proposals to the Board of Governors with regard to the remuneration policy for the executive management. The Remuneration committee consists of Luc Van den Brande (president), Thérèse Deshayes and Eric Defoort.
